The terms for using this marketing site.

These terms govern your use of vitalme.ai — our marketing website, waitlist signups, and NCI training enrollment pages. They are intentionally narrow: the vitalme app and the formal NCI training program will each have their own separate, more detailed terms when they launch.

§ 01 Acceptance of terms

By accessing or using vitalme.ai (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree, please don't use the Site. These Terms apply alongside our Privacy Policy.

You confirm that you are at least 16 years old (or the minimum age in your jurisdiction to lawfully use a website and join a marketing waitlist). If you're submitting a waitlist form on behalf of an organization, you confirm that you have authority to do so.

§ 02 What this site is — and isn't

The Site is an informational marketing site. It describes our work on the vitalme app and the Neural Circuit Integration (NCI) training framework, and lets interested individuals and clinicians join waitlists.

The Site is not a clinical product. It is not medical or mental-health advice, diagnosis, or treatment, and it is not a substitute for care from a licensed clinician. If you are in crisis or experiencing a mental-health emergency, contact 988 (US), your local emergency services, or a licensed provider immediately.

Joining a waitlist creates no service relationship, no clinical relationship, and no obligation on either side. It just tells us you're interested and lets us send you relevant updates — subject to our Privacy Policy.

§ 03 NCI training program terms

The NCI training program is delivered as an online webinar series for licensed mental-health clinicians, researchers, and clinician-educators. The Site currently lets eligible practitioners join the Q3 2026 cohort waitlist.

Waitlist

Joining the waitlist is free, is non-binding, and does not entitle you to enrollment. It signals interest only. Final dates are expected to be locked by August 1, 2026.

Formal enrollment

When enrollment opens, you'll receive a separate enrollment agreement covering: tuition (if any), schedule, attendance expectations, recording & materials use, continuing-education credit (if applicable), refunds, and any clinician-specific obligations. Those enrollment terms will control your participation in the program — these Site Terms do not by themselves create an enrollment contract.

Capacity

The current Q3 2026 cohort is delivered as an online webinar series with open enrollment — no seat cap. If we ever introduce capacity limits for a future cohort or in-person components, the relevant enrollment agreement will state them clearly.

Continuing education

Where the program offers continuing-education credits, eligibility, hour counts, and approving body details will be specified in the enrollment agreement. Nothing on the Site should be relied upon as a guaranteed CE offering.

§ 04 Intellectual property

The Site, its content, the VitalMe name and wordmark, the NCI framework name and materials, the vitalme brand, and all associated trademarks, copyrights, and trade dress are owned by VitalMe / Brainworks or used under license.

You may read, reference, and share short excerpts of public-facing material on the Site (e.g., for educational discussion or fair-use commentary), with attribution. You may not:

  • Copy or republish substantial portions of the Site or NCI materials without written permission.
  • Use the VitalMe or NCI marks in a way that implies endorsement or partnership we haven't agreed to.
  • Use any content from the Site to train commercial AI models without written permission.

The NCI Clinical Protocol white paper and other long-form clinical materials are made available for reading only; redistribution requires written permission.

§ 05 Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Statements on the Site about future products, training content, scheduling, and pricing are forward-looking and may change. We may modify or discontinue any feature of the Site at any time without notice.

§ 06 Limitation of liability

To the maximum extent permitted by law, in no event shall VitalMe, Brainworks, their owners, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of the Site, even if advised of the possibility of such damages.

Our aggregate liability for any direct damages arising from your use of the Site shall not exceed one hundred US dollars ($100). Some jurisdictions don't allow these limitations; in those places, our liability is limited to the smallest amount permitted by law.

§ 07 No clinical advice

We're going to say this once more, clearly, because it matters: information on this Site is educational and informational only. It is not a substitute for diagnosis, treatment, therapy, or any clinical relationship with a licensed provider.

Anything you read here about trauma, mental health, neuroscience, or therapeutic modalities is general background — not personalized clinical advice. Always consult a licensed mental-health professional for any decision that affects your care or the care of someone you're treating. If you're in crisis, contact 988 (US), your local emergency services, or your provider immediately.

§ 08 Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

§ 09 Disputes

If a dispute arises between you and us, please first try to resolve it informally. Email us at legal@vitalme.ai with a clear description of the issue and the resolution you're seeking. We commit to responding promptly and in good faith.

If we can't resolve the dispute informally within 60 days, it shall be resolved through binding individual arbitration administered by a recognized US arbitration provider, conducted in English, seated in California, USA, on a confidential basis. You and we each waive any right to a jury trial and to participate in a class or representative action, to the maximum extent permitted by law.

This Section 9 does not apply where prohibited by applicable consumer-protection law, and does not prevent either party from seeking injunctive relief in a court of competent jurisdiction for intellectual-property infringement or misappropriation of confidential information.

§ 10 Changes

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the most recent change. Continued use of the Site after a meaningful change constitutes acceptance of the updated Terms. If a change materially affects your rights, we'll provide a more prominent notice (e.g., an email to any waitlist you joined).
